Terms of Service
Please read these terms carefully before using Audora.
1. Acceptance of Terms
By accessing or using Audora ("Service", "Platform", "we", "us", or "our") at audora.agency, you ("User", "you", or "your") agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, you must not access or use the Service.
2. Description of Service
Audora is an AI-powered platform that joins your video conference calls, transcribes them, and automatically generates structured project documentation including product requirements documents, task breakdowns, timelines, statements of work, and related outputs.
The Service is designed for AI builders, software developers, freelancers, and agencies who take on client projects and wish to automate the conversion of client calls into actionable build-ready specifications.
We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice where possible.
3. Eligibility
You must be at least 18 years of age to use the Service. By using Audora, you represent and warrant that you meet this requirement. The Service is intended for business and professional use. Use of the Service for personal, household, or consumer purposes is not the intended use case.
4. Accounts and Registration
To access the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You agree to notify us immediately at [email protected] if you suspect any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to protect your credentials.
You may not create accounts using automated means, create accounts on behalf of others without their consent, or maintain more than one active account per individual user.
5. Subscriptions and Billing
Audora is offered on a subscription basis. By selecting a paid plan, you authorize us to charge your payment method on a recurring basis at the applicable plan rate. All fees are stated in US Dollars and are exclusive of applicable taxes.
Free Trial. We offer a 14-day free trial on the Studio plan for new accounts. No credit card is required to begin the trial. At the end of the trial period, your account will move to read-only status unless you upgrade to a paid plan.
Call Limits. Each subscription tier includes a defined number of calls per billing cycle. A "call" is defined as any meeting session joined by the Audora bot, regardless of duration. Unused calls do not roll over to subsequent billing cycles.
Upgrades and Downgrades. You may upgrade your subscription at any time, with changes taking effect immediately. Downgrades take effect at the start of your next billing cycle. No partial refunds are issued for the difference upon downgrading.
Annual Billing. Annual plans are billed in full at the start of the billing period. A 10% discount applies to annual plans compared to the equivalent monthly rate.
Refunds. Refund eligibility is governed by our Refund Policy. In summary, refunds are available only within 7 days of your first payment and only if you have consumed less than 20% of your plan's call limit during that period.
Taxes. You are responsible for all applicable taxes. We may collect taxes where required by law and will display such charges at checkout.
6. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:
- Record or transcribe calls involving participants who have not consented to being recorded, in violation of applicable wiretapping, privacy, or surveillance laws in your jurisdiction or the jurisdiction of other call participants
- Use the Service to process information that is subject to legal privilege, including attorney-client privileged communications, unless you have appropriate authorization
- Attempt to reverse engineer, decompile, or extract the underlying algorithms or models used by the Service
- Use the Service to generate content that is defamatory, fraudulent, harassing, or unlawful
- Resell, sublicense, or otherwise commercially exploit access to the Service without our express written permission
- Circumvent, disable, or interfere with security features or usage limits of the Service
- Upload or process content that infringes third-party intellectual property rights
- Use automated scripts or bots to interact with the Service in ways not expressly permitted
We reserve the right to suspend or terminate accounts that violate these provisions without notice and without refund.
7. Intellectual Property
Our IP. Audora, its logo, underlying technology, software, and all platform content are owned by or licensed to us and are protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, trade names, or other brand features.
Your Outputs. Documents, transcripts, and other outputs generated by the Service from your input data are owned by you. You grant us a limited, non-exclusive license to process and store your data solely to provide and improve the Service.
Feedback. If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use such feedback without restriction or compensation to you.
8. Your Data
You retain ownership of all data you upload to or process through the Service, including call recordings, transcripts, and project information ("Your Data"). We process Your Data solely to provide the Service and as described in our Privacy Policy.
No Training Use. We do not use Your Data to train, fine-tune, or improve AI models without your explicit written consent.
Data Retention. We retain Your Data for the duration of your subscription and for a period of 30 days following account termination or expiration, after which it is permanently deleted from our systems, subject to applicable legal retention requirements.
Security. We implement industry-standard technical and organizational measures to protect Your Data. See our Security page for details.
9. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Service, using the same degree of care it uses to protect its own confidential information, but no less than reasonable care. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT OUTPUTS GENERATED BY THE SERVICE WILL BE ACCURATE, COMPLETE, OR FIT FOR ANY PARTICULAR PURPOSE.
AI-generated outputs, including transcripts, task lists, and project specifications, may contain errors or omissions. You are solely responsible for reviewing, validating, and acting upon any outputs produced by the Service.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AUDORA, ITS AFFILIATES, OFFICERS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.
Our total aggregate liability to you for any claims arising under or in connection with these Terms shall not exceed the greater of (a) the amounts paid by you to us in the twelve months preceding the claim, or (b) one hundred US dollars ($100).
12. Indemnification
You agree to defend, indemnify, and hold harmless Audora and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service; (b) Your Data; (c) your violation of these Terms; or (d) your violation of any third-party rights, including privacy and intellectual property rights.
13. Termination
You may terminate your account at any time by contacting us at [email protected] or through account settings. Termination does not entitle you to any refund except as provided under our Refund Policy.
We may suspend or terminate your account immediately and without notice if we determine, in our sole discretion, that you have violated these Terms, engaged in fraudulent activity, or if continued provision of the Service creates legal risk or harm. Upon termination, your right to use the Service ceases immediately.
Sections 7, 8, 9, 10, 11, 12, and 14 survive termination of these Terms.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Service shall first be subject to good-faith negotiation between the parties. If negotiation fails, disputes shall be resolved by binding arbitration administered under the rules of the American Arbitration Association, conducted in English.
Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction where necessary to protect confidential information or intellectual property rights.
15. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the changes.
